La inoponibilidad de las cláusulas estatutarias de sumisión a arbitraje a los socios disidentes o ausentes

El nuevo artículo 11 bis de Ley de Arbitraje prevé la posibilidad de que las sociedades incluyan en sus estatutos sociales cláusulas de sumisión a arbitraje. La adopción de un acuerdo en tal sentido no requiere unanimidad, sino que es suficiente el voto favorable de, al menos, dos tercios de las acciones o participaciones en que se divida el capital social. La oposición a los socios disidentes o ausentes de la cláusula aprobada por mayoría supondría la vulneración del derecho a la tutela judicial efectiva.

The Arbitration Act provides for the companies the possibility of including in their social statutes clauses on submission to arbitration, according to the new Article 11 bis. The adoption of an agreement to that effect does not require unanimous voting. Only a majority of two thirds of the voting shares and stockholders is required for the adoption of such an agreement. The enforceability of that clause, even approved by a reinforced majority, to absent or dissenting shareholders it is an infringement of the right to effective judicial protection.
