En torno al arbitraje societario
Se analiza el artículo 11 bis de la Ley de Arbitraje que contempla la arbitrabilidad de los conflictos societarios. Asimismo, se estudia el alcance subjetivo y objetivo de la cláusula estatutaria de sumisión a arbitraje así como los requisitos necesarios para la inclusión de la misma, discutiéndose si, en atención a la naturaleza del convenio arbitral, habría sido conveniente exigir unanimidad y no una mayoría cualificada para la adopción del acuerdo por la junta general.
This paper analyses Section 11 bis of the Arbitration Act which refers to the possibility of submitting corporate disputes to arbitration. Further, this paper considers the subjective as well as the objective scope of the clause of the Articles of Association which provides the submission to arbitration and the necessary requirements to be fulfilled for its inclusion. In this regard, it is discussed whether, in view of the nature of the arbitration agreement, it would have been desirable to require unanimity instead of a qualified majority for the approval by the General Meeting.
