En el mes de diciembre pasado, se reformó el régimen de creación de las Sociedades de Responsabilidad Limitada, permitiendo diferir el desembolso del capital inicial, con la contrapartida de hacer al socio responsable personalmente de dicha aportación. Como esta medida supone un avance en la evolución del derecho de sociedades en la materia, tal vez haya llegado el momento de incidir en la flexibilización del régimen en beneficio de los emprendedores.
Last December, the regime for the creation of Limited Liability Companies was reformed, allowing the disbursement of the initial capital to be deferred, with the counterpart of making the partner personally responsible for said contribution. As this measure represents an advance in the evolution of company law in the matter, perhaps the time has come to improve the flexibilization of this regime for the benefit of entrepreneurs.
