Excusatio non petita acusatio manifiesta

A propósito del comentario de una reciente resolución de la DGRN, se completa el estudio sobre el alcance de la calificación registral en el Registro Mercantil con una segunda parte dedicada a los efectos registrales que habría de producir la caducidad de la acción de impugnación del acuerdo de Junta General. En particular, se critica la insinuación de la DGRN de que ese plazo de caducidad habría de empezar a contar en todo caso después de la inscripción, haciendo así imposible el acceso del acuerdo al Registro por caducidad. También se hace una crítica del modo en que se viene interpretando por la DGRN el principio de legitimación en el Registro Mercantil.

Continuing the commentary on a recent ruling by the General Directorate of Registries and Notaries(GDRN), the study on the scope of the registrar's statement of validity in the Register of Companies is completed with a second part on the registration consequences of the limitation of the action challenging the agreement of a general assembly. The suggestion by the GDRN that this limitation period should begin after the registration in all cases, thereby making access to the agreement in the registry impossible due to limitation, is subject to particular criticism. The way in which the principle of legitimacy in the register of companies has been interpreted by the GDRN is also criticised.
