Las juntas telemáticas en la pandemia y más allá

La pandemia ha llevado al legislador a admitir las juntas generales de sociedades de forma totalmente telemática. Se examinan estas normas excepcionales y los problemas que plantean en la práctica. La idea que subyace en esta regulación es que los medios técnicos hoy generalmente accesibles permiten una verdadera asistencia sin necesidad de presencia física. Esto nos lleva a proponer la admisión de este tipo de juntas más allá de los supuestos y plazos admitidos en esas normas, a través de su previsión en estatutos. Se examinan los requisitos que deben cumplir esas previsiones y los medios que las sociedades pueden utilizar para garantizar al mismo tiempo los derechos básicos de los socios y la seguridad jurídica.

The pandemic has led the legislator to accept the general meetings of companies held in a fully electronic format. This article examines these exceptional regulations, and the problems they pose in practice. The underlying idea of these regulations is that the technical means that are generally accessible today enable real attendance without the need for a physical presence. This leads on to a proposal for the acceptance of this type of meeting in situations other than those involving the circumstances and deadlines provided for in these regulations, by a means of a provision in the statutes. The requirements that these provisions must meet and the means that companies can use to ensure both the basic rights of shareholders and legal certainty are examined.
