Transposición de la directiva societaria digital: Alemania da el primer paso

La Directiva societaria digital permite compatibilizar las ventajas del procedimiento en línea (innecesaridad de desplazamiento físico) con las del documento público notarial (seguridad jurídica, prevención del fraude y el blanqueo de capitales). Así lo hace el proyecto presentado por el Gobierno alemán el 10 de febrero de 2021 al introducir en la Ley de sociedades limitadas (GmbHG) un procedimiento notarial de constitución societaria íntegramente en línea, basado en la comunicación a distancia mediante videoconferencia y la firma electrónica, cuya regulación se remite a los nuevos artículos 16a a 16e de la Ley notarial (BeurkG). De esta forma se mantienen el sistema alemán de seguridad jurídica preventiva con todas sus garantías y la coherencia del ordenamiento jurídico interno.

The Digital Company Directive makes it possible to combine the advantages of online procedures (removing the need foy mobility) with the advantages of notarial public documents (legal security, prevention of fraud and money laundering). This applies to the bill presented by the German Government on 10 February 2021, as it incorporates a notarial procedure for the incorporation of a company entirely online in the Limited Companies Law (GmbHG). This is based on remote communication via video conferences and electronic signatures, which is regulated by the new articles 16a to 16e of the Notarial Law (BeurkG). The German system of preventive legal security thereby retains all its safeguards and the consistency of the internal legal system.
