El traslado internacional del domicilio social dentro de la UE, a debate en el IV Congreso Notarial Europeo

La jurisprudencia del TJUE ha incluido el traslado internacional del domicilio social dentro del perímetro de la libertad de establecimiento. La necesidad de una Directiva europea que lo facilite, largamente pospuesta, se ha hecho más patente tras el Brexit y parece que va a ser finalmente abordada por la Comisión europea. El CNUE dedica a esta cuestión uno de los dos temas del IV Congreso notarial europeo, reunido en Santiago de Compostela, con la intención de mostrar el know how de los notarios, presentar propuestas y ofrecer su colaboración al legislador europeo. La protección de los diversos intereses en juego, la necesidad de un control de legalidad en cada uno de los Estados concernidos y la exigencia de un vínculo real entre la sociedad y el Estado de destino son puntos esenciales del debate. La Directiva sobre fusiones transfronterizas constituye un buen punto de partida para el nuevo instrumento.

The jurisprudence of the ECJ has included the international transfer of a registered office within the scope of freedom of establishment. The need for a much-postponed European Directive enabling this freedom has become more apparent since the Brexit vote, and it seems that it will finally be addressed by the European Commission. The CNUE is devoting one of the two themes of the IV Notaries of Europe Congress taking place in Santiago de Compostela to this issue, in order to highlight the know-how of notaries, present proposals and offer its cooperation to the European legislative body. The protection of the various interests involved, the need to ensure legality in each of the States concerned, and the need for a genuine link between the company and the destination State are key points in the debate. The Directive on international mergers is a good starting point for the new instrument.
