¡Pásele, marchantito!

La perfección de un contrato tiene relación con el momento cuando se perfecciona dicho contrato. A ello sigue el del lugar del perfeccionamiento del mismo, esto es, de la ciudad y el país donde se acepta. Si esto es así y las partes no han decidido la selección del foro para un eventual litigio, la ley previene entonces que ambas partes se someten a los tribunales de la ciudad donde se haya perfeccionado el contrato, lo que deja en una posición desfavorable a los contratantes latinos y los obliga, por tanto, a seguir el juicio en un lugar distinto, con un sistema legal desconocido y discutiendo en un idioma ajeno, con todas las desventajas que ello supone.

The execution of a contract is related to the point in time when the contract is executed. This is followed by the place where it is executed, i.e. the town and the country where it is signed. If this is the case, and the parties have not agreed on the selection of the jurisdiction for possible litigation, the law stipulates that the two parties are subject to the courts of the city where the contract has been executed. This leaves Spanish, Portuguese and Latin American contracting parties in an unfavourable position, and forces them to attend the proceedings in a different place, with an unfamiliar legal system and discussions in a foreign language, with all the disadvantages that this entails.
