Las ICOs como nueva forma de crowdfunding

Los proyectos innovadores, y en particular los tecnológicos, tienen graves dificultades para financiarse. Hace unos años, el “crowdfunding” o financiación participativa se presentó como una nueva alternativa para ellos, pero poco después ha aparecido una forma totalmente novedosa de financiación en masa que son las Initial Coin Offerings o ICOs y que plantea nuevos retos. Las ICOs son llamadas a participar en un proyecto mediante la creación de cripto-monedas en un sistema blockchain, que otorgan a sus titulares unos derechos a participar en los beneficios del proyecto (security tokens) o a obtener determinados servicios (utility tokens). Estos sistemas plantean grandes problemas, que van desde la incertidumbre tecnológica a la posible aplicación de las normas sobre emisión de valores. Por ello se discute si es necesaria una regulación específica para las ICO y si debe ser favorable o restrictiva.

Innovative projects, and technological projects in particular, have serious difficulties with financing. A few years ago, crowdfunding, or community financing, appeared to be a new alternative for them, but a completely new form of mass financing appeared soon afterwards - Initial Coin Offerings or ICOs, which pose new challenges. ICOs involve participating in a project by creating cryptocurrencies in a blockchain system, which grant their holders some rights to share in the profits of the project (security tokens) or to obtain certain services (utility tokens). There are major problems with these systems, ranging from technological uncertainty to the possible application of regulations issuing of securities. This paper discusses whether specific regulations for ICOs are necessary, and whether these should be favourable or restrictive.
