El artículo 348 bis frente al imperio despótico de la mayoría
El artículo 348 bis del Texto Refundido de la Ley de Sociedades de Capital que atribuye el derecho de separación del socio ante la ausencia de reparto de beneficios fue introducido por la Ley 25/2011, con la finalidad de proteger al socio minoritario frente a los acuerdos abusivos de la mayoría que pudieran socavar su derecho al dividendo. Sin embargo, una redacción muy rígida, sumada a la situación económica actual, han obligado a suspender su eficacia en dos ocasiones.
Article 348 (as amended) of the Consolidated Text of the Law on Corporations that confers shareholders the right of separation when no dividend is distributed was introduced by Law 25/2011, with the purpose of protecting the minority shareholder against abusive agreements of the majority that could undermine their right to receive a dividend. However, the very rigid wording added to the current economic situation, have forced the suspension of its effectiveness twice.
